• AI and automation solutions

3. Client Obligations

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Maintain appropriate access credentials and security practices
• Promptly notify us of any issues or concerns
• Pay for services according to agreed-upon terms
• Comply with all applicable laws and regulations

4. Intellectual Property

Unless otherwise specified in a separate agreement:

• ODD4 retains ownership of proprietary tools, methodologies, and pre-existing intellectual property
• Custom work product developed specifically for you becomes your property upon full payment
• You grant us permission to use your logo and name for portfolio and marketing purposes, unless you opt out in writing

5. Confidentiality

We maintain strict confidentiality regarding your business information, systems, and data. We will not disclose confidential information to third parties except as required by law or with your written consent.

6. Service Level and Support

Service levels, response times, and support availability are defined in individual service agreements. We strive to provide reliable, high-quality services but cannot guarantee uninterrupted service.

7. Limitation of Liability

To the maximum extent permitted by law:

• ODD4's liability is limited to the fees paid for the specific service giving rise to the claim
• We are not liable for indirect, incidental, special, or consequential damages
• We are not responsible for third-party services or products integrated with our solutions

8. Indemnification

You agree to indemnify and hold ODD4 harmless from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any third-party rights.

9. Termination

Either party may terminate services according to the terms specified in the applicable service agreement. Upon termination:

• You remain responsible for payment of services rendered
• We will assist with reasonable transition activities
• Confidentiality obligations survive termination

10. Dispute Resolution

Any disputes arising from these terms or our services will first be addressed through good-faith negotiation. If unresolved, disputes will be settled through binding arbitration in accordance with applicable laws.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.

12. Governing Law

These terms are governed by applicable federal and state laws. You consent to the jurisdiction of courts in our primary place of business for any legal proceedings.
